They are mandated to spend money on players to a percentage of the cap. It's not like they are pocketing it, they spent it on Chase, Higgins, Burrow, etc. I think a 12 million dollar raise in a non-contract year is very generous. He should play this year for the 28 million and worry about getting his 35 or 40 million next year when he's a free agent, IMO. But he knows he is getting old.
